The individual named below (referred to as “I” or “me”) desires to participate in GRANOGI Events which include activities like yoga, hiking and meditation or other activities taking place at various locations, (the “Event”) provided by GANOGI, LLC, a Utah limited liability company, (“GRANOGI”). As lawful consideration for being permitted by GRANOGI to participate in the Event, I agree to all the terms set forth in this agreement (the “Agreement”).

 

This agreement fully releases GRANOGI from all damages and liability relating to or arising from any Event activities (whether coordinated by GRANOGI, independently planned or done by me, or otherwise) including hiking, camping, yoga and meditation, beaches, waterfalls or campgrounds, festivals (“Activities”). I acknowledge the risks involved in the Activities. These risks include but are not limited to heat exhaustion, heat stroke, fatigue, sprains, or other physical stress, or injuries from slips and falls, or swimming, wading, in or around waterfalls and streams. I am participating voluntarily. Additionally, I do not have any conditions that will increase my likelihood of experiencing injuries while engaging in the Activities.

 

I AM AWARE AND UNDERSTAND THAT THE EVENT AND ACTIVITIES ARE DANGEROUS ACTIVITIES AND INVOLVE THE RISK OF SERIOUS INJURY AND/OR DEATH AND/OR PROPERTY DAMAGE. I ACKNOWLEDGE THAT ANY INJURIES THAT I SUSTAIN MAY BE COMPOUNDED BY NEGLIGENT EMERGENCY RESPONSE OR RESCUE OPERATIONS OF GRANOGI. I ACKNOWLEDGE THAT I AM VOLUNTARILY PARTICIPATING IN THE ACTIVITIES WITH KNOWLEDGE OF THE DANGER INVOLVED AND HEREBY AGREE TO ACCEPT AND ASSUME ANY AND ALL RISKS OF INJURY, DEATH, OR PROPERTY DAMAGE, WHETHER CAUSED BY THE NEGLIGENCE OF THE COMPANY OR OTHERWISE.

 

I hereby expressly waive and release any and all claims, now known or hereafter known in any jurisdiction throughout the world, against GRANOGI, and its officers, directors, managers, employees, volunteers, agents, instructors (including third-party instructors), independent contractors, affiliates, members, successors, and assigns (collectively, “Released Parties”), arising out of or attributable to my participation in the Activities, whether arising out of the negligence of any Released Parties, any third parties (including other participants or myself) or otherwise. I covenant not to make or bring any such claim against GRANOGI or any other Released Parties, and forever release and discharge GRANOGI and the Released Parties from liability under such claims.

 

If an emergency or other incident occurs in which, in the sole judgment of the Released Parties or medical personnel, requires medical treatment or care, I hereby consent to such treatment.  I understand and agree that any and all medical treatment rendered to me by, or at the request of, any Released Party is not an admission of obligation to provide, or continue to provide, any such medical treatment and also is not a waiver by any Released Party of any right under this Agreement.  

 

I also understand that my image may be captured, and I agree to be videotaped, recorded, and/or photographed during the Event for any purpose, including promotional or advertising purposes of GRANOGI. I grant unrestricted permission allowing my image and video recordings of myself and my property to be used in broadcast, print, video, and any form of media.  I waive the right to view and approve any use of my image, and I understand and agree that these recordings may be used without further notifying me. I grant this release to GRANOGI, and its affiliated organizations, sponsors, Tribes, as well as any successor, assignee or personnel. I understand that I will not be compensated, and that I will receive no payments or royalties.

 

Participant understands and waives any right to bring any claims for personal injury, death, disease, or any other loss, including but not limited claims of negligence and give up any claims for damages or future damages related to any sickness like COVID-19.

 

This Agreement constitutes the sole and entire agreement of GRANOGI and me with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. If any term or provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction. This Agreement is binding on and shall inure to the benefit of GRANOGI and me and their respective successors and assigns. All matters arising out of or relating to this Agreement shall be governed by and construed in accordance with the internal laws of the State of Utah without giving effect to any choice or conflict of law provision or rule (whether of the State of Utah or any other jurisdiction). Any claim or cause of action arising under this Agreement may be brought only in the federal and state courts located in Salt Lake County, Utah, and I hereby consent to the exclusive jurisdiction of such courts.

 

I verify that (i) I am at least 18 years of age, or that my guardian has signed below; (ii) I am in good health and have no physical defects that might cause me harm during my participation in the Event or any Activities; (iii) I have read and understood all of the terms of this Agreement and that I am voluntarily giving up substantial legal rights. (iv) Should the Released Parties or anyone acting on their behalf, be required to incur attorney's fees and costs to enforce this agreement, I agree to indemnify and hold them harmless for all such fees and costs.

 

By signing below, I forfeit all rights to bring a claim against GRANOGI for any reason. I have had sufficient opportunity to read this entire document. I have read and understood it, and I agree to be bound by its terms.
